Any trade with any team will be a conflict of interest. I'm going to assume that Stern, a lawyer, and all the legal experts working for the NBA have covered themselves from a potential lawsuit. It seems like Stern may be asking for too much for Paul, for not letting him walk for pennies on the dollar since NO doesn't have much leverage. But there is nothing illegial about that. Dumb perhaps.
